Comparison of Reporting Standards Under NI 43-101 to S-K 1300 – When Preparing Mineral Resource and Mineral Reserve Estimates

It has been 4 years since the United States Securities and Exchange Commission (SEC) modernized their mining disclosure standards with a new Subpart 229.1300—Disclosure by Registrants Engaged in Mining Operations of Regulation S-K (S-K 1300).  One of the SEC’s objectives was to closely align their disclosure requirements and policies for mining properties with current industry and global regulatory practices and standards. 

Many of the new S-K 1300 rules are very similar to, and in some cases identical to, those required under NI 43-101.  However, there remain some important differences.    

All US mining registrants have had their public filings reviewed by SEC mining staff for compliance with S-K 1300 standards. Comment letters filed on EDGAR allow us to see what was identified as non-compliant S-K 1300 mining technical disclosure and what was required to correct it.  Many of the compliance issues raised by the SEC staff are directed at mining companies that incorrectly assumed all of their mineral resource and reserve estimates prepared under one of the CRIRSCO family of reporting codes would meet the equivalent requirements under S-K 1300.  

This short course will compare the disclosure standards and reporting requirements under NI 43-101 (and the CRIRSCO International Reporting Template) to the equivalent standards and requirements under S-K 1300, emphasizing where there are differences.  

The course presenters will also review recent proposed changes to the CRIRSCO International Reporting Template and how they align or conflict with NI 43-101 and S-K 1300 reporting standards for mineral resources and mineral reserves.

Short Course Objectives: 

Provide a better understanding of the differences in reporting standards that remain for mineral resource and mineral reserve estimates prepared under NI 43-101, S-K 1300, and other CRIRSCO family of reporting codes.  

Target Audience: 

Qualified Persons preparing and taking responsibility for mineral resource and mineral reserve estimates. Management of public mining companies filing documents under Canadian NI 43-101 standards, or US S-K 1300 standards.

Stella Searston, RM SME, F.AusIMM, AIG; Principal Geologist, Mine Technical Services Ltd.; Member of: CIM Mineral Resource and Reserve Committee; SME Resources/Reserves Committee. Technical reviews, audits, and specialist studies including due diligence and governance/compliance appraisals.
